These Terms and Conditions form the basis of membership through which Six Figured Females (“SFF”, “we” or “us”) will deliver a service to you as a Member (“you”, or “Member”). On becoming a Member of SFF or participating in SFF events, paid or otherwise, you agree to these Terms and Conditions. While visiting our Website, you agree to our Terms of Use. We will handle your personal data in accordance with our privacy policy.
1. Interpretation
Definitions:
“Events” means the events that the SFF organises in each Membership Term.
“Additional Services Fee” means the fee charged to Members, guests of Members that are attending with a Member and non-members.
Intellectual Property Rights: patents, models, rights to inventions, copyright and related rights, moral rights, trade marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
“Member” means the person who is named on the Application for Membership form and for whom, following acceptance of SFF, SFF has agreed to provide services, in accordance with these terms.
“Membership Fee” means the payment facilitated by the Member to SFF to cover membership costs for the Membership Term.
“Membership Term” means an initial period of three months and rolling on a monthly basis which continues until the agreement is terminated by either party in accordance with these terms OR a 6-month OR 12-month period (based on the Member’s selection) which ends on the earlier of the expiry of the term or termination of the agreement.
“Member Materials” means designs, documents, content, videos or other information shared by Members for the sole purpose of use by SFF and other Members, not to be distributed, shared, copied or used other than for the purposes of the Membership.
“Networking Events” means SFF Events which are consist of a small group that meets regularly to learn and grow together. The objective of a networking event is to share information, network and/or host events together.
“Service” means the offering of a platform, group communications, services, Events and other, provided by SFF and set out in these Terms and Conditions.
“Website” means SFF’s website www.sixfiguredfemales.com.
2. Agreement to these Terms
2.1 Membership to join SFF offer members-only benefits and privileges. Memberships are paid monthly, six-monthly or annually, and are non-transferable. Memberships shall continue until cancelled or terminated and are subject to membership terms.
2.2 When applying for Membership of SFF, the Member confirms that they have read and agreed to be bound by these Terms and Conditions. These terms will be continually available on the Website.
2.3 These terms and conditions also apply to non-members who participate in paid-for and/or non-chargeable services provided by SFF.
2.4 SFF reserves the right to revoke a membership if at any time SFF there is non-payment of the membership fee or if, in the opinion of SFF, the Member has violated the spirit and/or these Terms and Conditions.
2.5 Any material changes to these terms will be notified by SFF to the Member in writing, which may include electronic communication.
3. Membership Benefits
3.1 The Service is the selection of events and publications organised and issued by SFF and represented in format and schedule on the Website.
3.2 This will change from time to time with updates available on the Website.
3.3 SFF shall at its sole discretion provide the Service to the Member per Membership Term as contained in the benefits to membership levels on the Website. Membership fees include an invitation to a networking meeting every month, use of the membership site and WhatsApp communities.
3.4 The Service is given to the Member subject to these Terms and Conditions. Membership and Member benefits are based on the individual Member and are not transferable to other individuals.
3.5 Membership of Six Figured Females and participation in the SFF community network, is subject to the code of conduct as listed below:
(i) Six Figured Females supports businesses in making connections and building relationships. This is not a ‘hard sales’ environment and all participants must embrace this principle.
(ii) Members are encouraged to support each other. SFF embraces inclusiveness and diversity and does not tolerate harassment or bullying in any way.
(iii) A cornerstone of the SFF community is trust. Members agree to keep all information shared by other Members during meetings, events, or in community forums (such as WhatsApp groups) in the strictest confidence and in accordance with the confidentiality clause 9. Members shall not share, repeat, or otherwise disclose any member’s personal or business information outside of the specific community space in which it was shared.
(iv) The nature of the Member’s business must be legal and legitimate. Therefore, its activities must be in accordance with UK law and, if based outside of the UK, the laws of the country in which it is located.
(v) Members agree to conduct themselves in a professional and business-like manner, treating other members with respect at all times. If SFF should receive a complaint about any Member’s behaviour, it reserves the right to suspend Membership. Upheld, such complaints would constitute a breach of these Terms and Conditions.
(vi) Member attendees at any SFF Events are responsible for their own belongings and should take appropriate measures to safeguard them.
3.6 Six Figured Females reserves the right to withdraw membership or the registration of any participant of the Network who, in its opinion, does not comply with this set of terms and conditions.
3.7 Events. Where tickets are purchased for Events organised SFF, Members acknowledge that:
3.7.1 Tickets are sold subject to availability and are non-transferable.
3.7.2 All tickets must be purchased in advance through our official website or authorised ticketing partners. No on-site ticket sales will be available;
3.7.3 All ticket sales are final, and no refunds will be issued;
3.7.4 In the event of unforeseen circumstances or event cancellation, the organiser will provide a full refund;
3.7.5 In the event of unforeseen circumstances, the organiser reserves the right to cancel or postpone the event. In such cases, ticket holders will be notified via email;
3.7.6 If the event is canceled, ticket holders will be eligible for a full refund, including any processing fees; and
3.7.7 If the event is postponed, tickets will automatically be transferred to the rescheduled date. Ticket holders unable to attend the rescheduled date may request a refund.
4. Membership terms and payment
4.1 Membership of SFF is for the Membership Term, as defined. Members must provide one full month’s notice (based on Member billing cycles) to cancel their Membership and terminate the Agreement. SFF do not offer refunds and memberships are non-transferable.
4.2 From time to time, Members may be required to pay the Additional Services Fee to participate in certain optional additional Events and activities. An Additional Services Fee shall not be refunded if the Member is unable to attend the Event following the expiry of the Event booking deadline date.
4.3 All charges quoted to the Member for the provision of the Service and Events are exclusive of any applicable VAT.
5. Warranties and Liability
5.1 SFF warrants to the Member that the Service will be provided using reasonable care and skill as far as reasonably possible. Where SFF uses the service of any agent or third party (such as speakers at Events) SFF does not give any warranty, guarantee or indemnity in that respect.
5.2 Except in cases of death or personal injury caused by SFF’s negligence, SFF shall not be liable to the Member by reason of any representation (unless fraudulent or negligent) for any loss of profit or any indirect, special or consequential loss, damage costs, expenses or other claims (whether caused by the negligence of SFF or its agents or otherwise) which arise out of or in connection with the provision of the Service and the entire liability of SFF under or in connection with the Membership or Service shall not exceed twice the Membership Fee for that Membership Term, except as expressly provided in these Terms and Conditions. This warranty is in lieu of all other terms, conditions and warranties, expressed or implied statutory or otherwise and any other liabilities whatsoever and howsoever arising.
5.3 SFF shall not be liable to the Member or be deemed to be in breach of these Terms and Conditions by reason of any delay in performing, or any failure to perform, any of SFF’s obligations in relation to the Service, if the delay or failure is due to any cause beyond SFF’s reasonable control, and time shall not be of the essence.
6. Termination of Membership
6.1 The Member may terminate their Membership by giving one month’s written notice to SFF. If notice is given during the Membership Term, the Member will not be refunded the Membership Fee for the remaining Membership Term unless the Membership is terminated by the Member in accordance with Clause 6.3.
6.2 SFF may, at its discretion, terminate an individual Membership with a pro-rated refund of the remaining Membership Fee.
6.3 Either party may at any time terminate the Membership by immediate written notice if the other commits any material breach of these Terms and Conditions.
6.4 The Member may terminate this agreement if SFF goes into liquidation, becomes bankrupt, makes a voluntary arrangement with its creditors or has a receiver or administrator appointed.
6.5 SFF may terminate this agreement beyond any period that has previously been paid for if the Member funding organisation goes into liquidation, becomes bankrupt, makes a voluntary arrangement with its creditors or has a receiver or administrator appointed.
6.6 Upon termination of the Membership for whatever reason all sums owed by the Member to SFF shall become due and payable by the Member with immediate effect.
7. Membership
7.1 Membership allows a Member to access certain content, services and resources. If a Member decides to cancel their Membership, access will cease.
7.2 If you provide your details in any enquiry form, contact form or event registration, you are giving your express permission for your details to be added to SFF’s database for contact and marketing purposes. Your details may be provided to a third party, as covered in SFF’s Privacy Policy.
7.3 Membership of SFF is at the sole discretion of SFF, and it reserves the right to refuse any individual a Membership.
7.4 SFF’s website uses cookies to monitor browsing preferences. If you do allow cookies to be used, certain personal information may be stored by us. We will never share this information with third parties. Cookie Policy.
7.5 If Members register for the Services, they are responsible for maintaining the confidentiality of their passwords and account and for any and all activities that occur under your password or account. Members agree to immediately notify SFF of any unauthorised use of their passwords or account or any other breach of security.
7.6 Your information may be used in different ways, including, but not limited to, the following:
(i) We may use your contact information in order to send you emails or other communications regarding updates to the site, such as new SFF Events and additional information which may be of interest to you.
(ii) We may use the information we gather on the site and through our events whether personal, demographic, collective or technical, for the purpose of operating and improving the membership, to help us create a positive user experience, and improve on delivering the services that we offer.
(iii) We may also use the information we gather to inform you of other products or services available from SFF, other Members or our affiliated companies.
(iv) Any feedback You submit in this area becomes the property of SFF, and such feedback (such as success stories) may be used for marketing purposes or to contact you for further information.
7.7 When you participate in a Networking Event you are listed as a member and your name will be in the members directory. Your member listing includes your name, geographic location, and email address.
7.8 Photography and videography will be taken during all the Events to support the marketing activities for SFF. If you do not wish to give permission for them to be photographed please do let the host of the event know on the day they attend.
7.9 SFF reserves the right to make any changes to the program or Events, including speakers, schedule, and content, without prior notice. Changes may entitle ticket holders to a refund on written request.
8. Intellectual Property
8.1 All content, materials, and resources provided on this website and through SFF’s Services, including but not limited to Intellectual Property Rights provided in connection with SFF courses, Memberships and Events (“Content”), are the property of SFF or SFF’s content suppliers. This Content is protected by English and international copyright, trademark (if registered), and other intellectual property laws.
8.2 SFF shall retain ownership of all Intellectual Property Rights, excluding any Member Materials contained within them.
8.3 Subject to clause 8.1, SFF grants to the Member a non-exclusive, royalty-free, non-transferable and irrevocable license during the term of the Membership to use its Content for the purpose of receiving and using the Services, exclusively for the Member’s personal use. This license is personal to you and may not be shared, transferred, or sub-licensed.
8.4 All licenses granted under these Terms and Conditions are strictly conditional upon compliance with these Terms. You are expressly prohibited from: (i) reproducing, duplicating, copying, sharing, selling, reselling, distributing, or otherwise exploiting any Content for any commercial purpose and (ii) using trademarks without SFF’s written permission.
8.5 All trademarks, logos, and service marks (collectively, the “Trademarks”) displayed on the Website (such as ‘Six Figured Females’) are registered and unregistered Trademarks of Six Figured Females Ltd and shall not be used without express consent.
9. Confidentiality
9.1 Members acknowledge that part of the Membership and participation in the Specified Services exposes Members to SFF’s proprietary methods, processes, and structures for our events, meetings, and courses (the “Confidential Information”). This Confidential Information is a valuable trade secret. You agree:
(i) To hold all Confidential Information in strict confidence and not to disclose it to any third party.
(ii) Not to use this Confidential Information for any purpose other than your personal participation in our services.
(iii) You are expressly prohibited from using SFF’s Confidential Information to create, develop, use, copy or operate a competing business, program, or service at any time during your membership and for a period of 24 months after your Membership terminates. This includes, but is not limited to, replicating the format, structure, or methodology of our seasonal events or face-to-face meetings for your own commercial or non-commercial purposes.
9.2 Each party undertakes that it shall not disclose to any person any Confidential Information of the other party.
9.3 Neither party may use the other party’s Confidential Information for any purpose other than to exercise its rights and perform its obligations under the Contract.
9.4. Any use of the Content or Confidential Information not expressly permitted by these Terms constitutes a material breach of this agreement and an infringement of SFF’s Intellectual Property Rights and other rights. Upon such a breach, your right to use SFF’s Services and access the Content will terminate immediately. SFF reserves all rights to seek legal remedies, including injunctions and damages, for any such breach.
10. General
10.1 Notices. Any notice to SFF is to be sent in writing to 85 Great Portland Street, London, England, W1W 7LT or by email to hello@sixfiguredfemales.com. Notices to the Member will be sent to the email address of the Member unless SFF is otherwise informed in writing. The provisions of this clause shall not apply to the service of any proceedings or documents in any legal action.
10.2 Severance. If any provision or part-provision of these Terms and Conditions is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of the Terms and Conditions.
10.3 Entire agreement. These Terms and Conditions constitute the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.
10.4 Each party agrees that it shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement. Each party agrees that it shall have no claim for innocent or negligent misrepresentation based on any statement in these Terms and Conditions.
10.5 Variation. No variation of Membership shall be effective unless it is in writing and signed by the parties (or their authorised representatives) including by electronic means.
10.6 Force majeure. Neither party shall be in breach of these Terms and Conditions nor liable for delay in performing, or failure to perform, any of its obligations under these Terms and Conditions if such delay or failure result from events, circumstances or causes beyond its reasonable control.
10.7 Third parties. No one other than a party to these Terms and Conditions shall have any right to enforce any of its terms.
10.8 Waiver. No failure or delay by either party in exercising any of its rights under these Terms and Conditions shall be deemed to be a waiver of that right, and no waiver by either party of any breach of these Terms and Conditions by the other shall be considered as a waiver of any subsequent breach of the same or any other provision.
10.9 Governing law. These Terms and Conditions, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.
10.10 Jurisdiction. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms and Conditions or its subject matter or formation.
